Due to the ongoing threat of COVID-19, the Secretary of State of Illinois (SOS-IL) will extend its closure to the public and service companies until January 24th, 2022. During this time, penalty and interest will not be assessed on corporations. The SOS-IL offices will still be open to answer phones and process documents.
Our COGENCY GLOBAL Springfield office will still be open to process your work but please be advised that many requests to this jurisdiction will be sent via FedEx or routine mail services, and there will be no EXPEDITED service options for filings that are submitted manually via FedEx or routine mail services to the Corporation or LLC divisions. The filing date of the documents submitted in this manner will be the date on which the documents are reviewed and accepted and not the day that they are received by the SOS-IL.
Note that when e-filing corporate/LLC documents with the SOS-IL, we have the choice of doing so on a routine or expedited basis with the associated extra fees charged for the faster same day/24-hour processing. If the expedited choice is made, a filing submitted on any weekend date will not be reviewed until a state auditor approves it. These filings will get the actual submission date as the date of filing.
Below is a list of services that will continue as normal:
- Sending UCC certified search requests and Corporate/LLC Certified Copy requests via e-mail
- Using the electronic option for Good Standing requests
- Processing your UCC and FTL search requests
Please note: we will not be able to email UCC filing requests but we can electronically file these UCCs as needed through our XML portal from our UCC Profile system.
The following types of Corporate/LLC documents can be filed electronically with the SOS-IL:
- Articles of Incorporation/Articles of Organization
- Annual Reports
- Assumed Names
- Name Change Amendments
- Change of Agents
