This program examines Special Purpose Vehicles (SPVs), covering what they are and how they are used.  It describes formation of bankruptcy remote SPVs and the role of independent directors and managers, focusing on Delaware law. The program provides a detailed discussion of post-formation considerations, including an overview of facts to consider when determining what constitutes doing business in foreign jurisdictions where the entity holds property.  It covers how to maintain an SPV to avoid pitfalls and maintain good standing.  And, finally it addresses how Certificates of Validation can be used to remedy certain defective corporate acts that can hinder a closing.
