On Wednesday, October 4th, COGENCY GLOBAL INC. (formerly National Corporate Research, Ltd.) will be presenting a free 90-minute CLE seminar in Chicago, “Corporate Transactions and Formations in Civil Law Countries: Key Considerations and Case Studies From Brazil”.

This program is for newly admitted and experienced attorneys, paralegals and other business professionals who form companies outside the U.S. or handle international transactions.

When you handle corporate transactions and formations internationally, chances are that you’ll be working with a civil law country. Filing office and legal requirements in civil law countries can differ significantly from what is familiar to legal and business professionals in the U.S. common law environment.

The focus of this program will be to provide a practical understanding of the formation and due diligence processes as well as the potential pitfalls and benefits of civil law systems. A brief background on civil law and examples from Brazil will also be provided. COGENCY GLOBAL will be joined by EWaider&Co., a Brazilian outsourcing and consultancy firm, in presenting this seminar.

The topics to be covered include:

  • Overview of Civil Law Systems with an emphasis on formations and document retrieval
  • International Trends, including beneficial owner transparency requirements
  • Civil Law Formation Requirements: Registered office vs. registered agent, Authorized Representative liability – and more!
  • Due Diligence and Public Registries: Availability of charter documents, Good Standing Certificates and UCC-equivalent searches


The seminar will be held at the Metropolitan Club in Chicago and will run from 9:00 AM to 10:35 AM, with a complimentary breakfast beginning at 8:30 AM.

This course has been approved by the Illinois MCLE Board for 1.5 MCLE credit hours and by the National Federation of Paralegal Associations (NFPA) for 1.5 paralegal CLE credit hours.
